SpeakerDrive Affiliate Program Terms

These Affiliate Program Terms (the "Terms") govern participation in the SpeakerDrive Affiliate Program (the "Program") operated by Peak Performance Publishing, LLC d/b/a SpeakerDrive ("SpeakerDrive," "we," "us," or "our"). By enrolling in the Program, you ("Affiliate," "you," or "your") agree to these Terms.

1. Overview

The Program lets approved Affiliates earn recurring commissions for referring new paying customers to SpeakerDrive. Referrals are tracked through the affiliate platform we operate, and commissions are paid on net subscription revenue actually collected from referred customers.

2. Definitions

  • "Referral Link" means the unique tracking link provided to Affiliate through the SpeakerDrive affiliate portal.
  • "Referred Customer" means a new SpeakerDrive customer who (a) has no prior account or active relationship with SpeakerDrive, (b) clicks Affiliate's Referral Link, (c) signs up within the Attribution Window defined in Section 6, and (d) becomes a paying subscriber.
  • "Net Subscription Revenue" means subscription fees actually collected from a Referred Customer, net of refunds, chargebacks, credits, taxes, payment processing fees, and discounts.
  • "Good Standing" means Affiliate is in compliance with these Terms and has not engaged in any conduct described in Section 8 (Prohibited Conduct).

3. Eligibility

To participate, you must:

  • Be at least 18 years old and legally able to enter into binding contracts.
  • Have a valid email address and a payout account supported by our affiliate platform.
  • Not be an existing SpeakerDrive customer enrolling primarily to obtain commissions on your own account.
  • Not be a competitor of SpeakerDrive or operate a directly competing product.

SpeakerDrive reserves the right to approve or reject any applicant in its sole discretion, and to remove any Affiliate at any time for breach of these Terms.

4. Enrollment

You enroll by completing the application at our affiliate portal. Enrollment is complete when SpeakerDrive approves your account and provides your Referral Link. SpeakerDrive may require additional information (including tax documentation) before activating an account or issuing payouts.

5. Commission Structure

  • Commission Rate. Affiliates in Good Standing earn a recurring commission equal to thirty percent (30%) of Net Subscription Revenue collected from each Referred Customer.
  • Recurring Commissions. Commissions continue for as long as (a) the Referred Customer maintains an active, paying subscription, and (b) Affiliate remains in Good Standing.
  • Refunds and Chargebacks. If a Referred Customer receives a refund or initiates a chargeback, the corresponding commission will be reversed or deducted from future payouts.
  • Currency. All commissions are calculated and paid in U.S. dollars.

SpeakerDrive may offer increased or promotional commission rates to specific Affiliates at its discretion. Such arrangements do not modify these Terms unless documented in writing.

6. Tracking and Attribution

  • Attribution Window. SpeakerDrive uses a sixty (60) day, last-click attribution window. If a prospective customer clicks Affiliate's Referral Link and signs up as a paying customer within sixty (60) days of the most recent click, the referral is attributed to Affiliate.
  • Tracking Method. Attribution relies on cookies and other technical signals. SpeakerDrive is not responsible for failures to track caused by ad blockers, cookie clearing, cross-device behavior, private browsing, or other technical limitations outside our control.
  • Conflicts. If a customer's account is associated with multiple Affiliates, the most recent valid click within the Attribution Window controls.
  • No Manual Attribution. SpeakerDrive does not retroactively assign customers to Affiliates outside of the tracking system, except in cases of demonstrable tracking failure documented at the time of signup.

7. Payment Terms

  • Payout Schedule. Commissions are paid monthly for revenue collected in the prior calendar month, typically within fifteen (15) days of month-end.
  • Minimum Payout. A minimum balance of $200 is required for payout. Balances below the minimum roll forward to subsequent months.
  • Payment Method. Payouts are issued through the payment processor used by our affiliate platform. Affiliates are responsible for maintaining accurate payout details.
  • Reporting. Affiliates can view referrals, conversions, and commissions in real time through the affiliate portal.
  • Holdback Period. SpeakerDrive may hold commissions for up to thirty (30) days after a referral converts to allow for refund and chargeback windows to close.

8. Promotion Guidelines

Permitted Promotion

You may promote SpeakerDrive through:

  • Email to your own opt-in audience
  • Your own website, blog, podcast, newsletter, or social media
  • Content marketing, reviews, tutorials, and comparison content
  • Webinars, trainings, and live events you host
  • Paid advertising on platforms you operate, subject to the prohibitions below

Prohibited Conduct

You may not:

  • Send unsolicited or spam email of any kind.
  • Bid on, register, or use SpeakerDrive's brand name, trademarks, or common misspellings ("SpeakerDrive," "Speaker Drive," etc.) in paid search advertising or domain names.
  • Pose as SpeakerDrive, suggest endorsement that does not exist, or misrepresent your relationship with SpeakerDrive.
  • Make false, exaggerated, or unsupported claims about SpeakerDrive's features, pricing, results, or performance.
  • Use cookie stuffing, iframe injection, forced clicks, hidden links, incentivized clicks, or any deceptive tracking practice.
  • Refer yourself, your immediate family, or businesses you control. Self-referrals will be disqualified and commissions reversed.
  • Promote SpeakerDrive on websites or in channels containing illegal, hateful, violent, sexually explicit, or otherwise objectionable content.
  • Combine your Referral Link with discounts, coupons, or rebates not authorized by SpeakerDrive.
  • Use Affiliate's relationship with SpeakerDrive to negotiate special terms, pricing locks, or commitments on behalf of Referred Customers.

Violation of this section may result in immediate termination, forfeiture of unpaid commissions, and reversal of paid commissions tied to the violation.

9. Use of SpeakerDrive Brand

SpeakerDrive grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use the SpeakerDrive name and logo solely to promote SpeakerDrive under these Terms. You may not:

  • Modify or alter SpeakerDrive's logo or trademarks.
  • Use SpeakerDrive's brand in a way that suggests partnership, joint venture, or employment beyond the affiliate relationship.
  • Register domains, social handles, or business names containing "SpeakerDrive" or confusingly similar terms.

This license terminates automatically when Affiliate's participation ends.

10. Confidentiality

Affiliate may receive non-public information about SpeakerDrive's product, customers, roadmap, or business in the course of participation. Affiliate agrees to keep such information confidential and not to use it outside the Program. This obligation survives termination.

11. Affiliate Representations

By participating, Affiliate represents and warrants that:

  • All information provided is accurate and current.
  • Affiliate has the authority to enter into and perform under these Terms.
  • Affiliate's promotional activities will comply with all applicable laws, including the CAN-SPAM Act, GDPR, CCPA, FTC endorsement guidelines, and any other applicable advertising, privacy, and consumer protection laws.
  • Affiliate will clearly and conspicuously disclose its affiliate relationship with SpeakerDrive wherever required by law or platform policy.

12. Term and Termination

  • Term. Participation begins on approval and continues until terminated.
  • Termination for Convenience. Either party may terminate participation at any time, for any reason, with thirty (30) days written notice (email is sufficient).
  • Termination for Cause. SpeakerDrive may terminate Affiliate immediately, without notice, for breach of these Terms, fraudulent activity, or conduct harmful to SpeakerDrive's brand, customers, or business.
  • Program Discontinuation. SpeakerDrive may discontinue the Program entirely at any time on thirty (30) days written notice to all Affiliates.

13. Effect of Termination

  • Termination for Convenience by Affiliate or SpeakerDrive. Affiliate will continue to receive earned commissions on Referred Customers acquired prior to termination, for as long as those customers maintain active, paying subscriptions and Affiliate continues to comply with these Terms.
  • Termination for Cause. All unpaid commissions are forfeited. SpeakerDrive may reverse previously paid commissions tied to the conduct giving rise to termination.
  • Program Discontinuation. SpeakerDrive will pay all commissions earned through the discontinuation date in the ordinary course. No future commissions accrue after discontinuation.

Sections 8, 9, 10, 11, 13, 17, 18, 19, and any other provisions intended to survive will survive termination.

14. Modification of Terms

SpeakerDrive may modify these Terms at any time by posting an updated version at this URL or by notifying Affiliates by email. Material changes take effect thirty (30) days after notice. Continued participation after the effective date constitutes acceptance of the modified Terms. If Affiliate does not agree to a modification, Affiliate's sole remedy is to terminate participation under Section 12.

15. Taxes

Affiliate is solely responsible for all taxes on commissions received. SpeakerDrive may require Affiliate to provide tax documentation (such as a W-9 or W-8) before issuing payouts and may withhold payouts until valid documentation is on file. SpeakerDrive will issue tax forms as required by law.

16. Independent Parties

The relationship between SpeakerDrive and Affiliate is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship. Neither party has authority to bind the other.

17. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless SpeakerDrive, its affiliates, officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from (a) Affiliate's breach of these Terms, (b) Affiliate's promotional activities or content, (c) Affiliate's violation of any law or third-party right, or (d) any misrepresentation made by Affiliate about SpeakerDrive.

18. Disclaimers and Limitation of Liability

The Program is provided "as is" without warranties of any kind, express or implied. SpeakerDrive does not guarantee any minimum level of referrals, conversions, or commissions, and makes no representation that any particular promotion will be effective.

To the maximum extent permitted by law, SpeakerDrive will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to the Program or these Terms. SpeakerDrive's aggregate liability to Affiliate under these Terms will not exceed the total commissions paid to Affiliate in the twelve (12) months preceding the claim.

19. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Program will be resolved exclusively in the state or federal courts located in Montgomery County, Pennsylvania, and the parties consent to the personal jurisdiction of those courts. The parties agree to attempt good-faith resolution before initiating any legal proceeding.

20. Miscellaneous

  • Entire Agreement. These Terms constitute the entire agreement between the parties with respect to the Program and supersede all prior or contemporaneous understandings.
  • Assignment. Affiliate may not assign these Terms without SpeakerDrive's prior written consent. SpeakerDrive may assign these Terms freely.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver. A failure to enforce any provision is not a waiver of the right to enforce it later.
  • Notices. Notices to SpeakerDrive should be sent to support@speakerdrive.com. Notices to Affiliate will be sent to the email on file in the affiliate portal.
